Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Coli Studio website, online forms, consultation scheduling tools, communications, and related online services (collectively, the "Website"). These Terms are between you and Coli Studio Inc. ("Coli Studio," "Company," "we," "us," or "our").

By accessing the Website, submitting a form, scheduling a consultation, communicating with us, or using any Website feature, you agree to these Terms. If you do not agree, do not use the Website.

1. About Coli Studio

Coli Studio provides consultation, design, project coordination, permit support, construction-related services, and related support for accessory dwelling units (ADUs), casitas, backyard homes, small homes, renovations, new builds, and similar residential or real estate construction projects. Coli Studio serves customers in Arizona and Florida and may work with homeowners, property owners, investors, designers, architects, contractors, inspectors, permitting professionals, financing providers, and other third parties as part of a project.

Information on the Website is provided for general business, educational, marketing, and consultation purposes. A separate written agreement, proposal, invoice, construction agreement, change order, financing agreement, or other signed document may apply to a specific project or service.

2. Website Use

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to misuse the Website, interfere with its security or operation, submit false or misleading information, attempt unauthorized access, scrape or copy content without permission, or use the Website in a way that violates any law or third-party right.

3. Consultations, Estimates, and Project Information

The Website may allow you to request an initial consultation, book an appointment, ask questions, or submit information about a potential project. Any consultation, design idea, budget discussion, timeline discussion, feasibility comment, code discussion, or estimate provided before a signed project agreement is preliminary and for planning purposes only.

Project costs, timelines, financing options, design feasibility, permitting outcomes, construction scope, and completion dates can be affected by many factors, including site conditions, jurisdiction requirements, utility availability, HOA rules, engineering needs, soil conditions, material availability, labor availability, inspections, plan review times, lender requirements, weather, and change orders.

4. Separate Project Agreements Control

These Terms do not replace a signed proposal, construction contract, design agreement, financing agreement, change order, invoice, or other written project document. If a signed project document conflicts with these Terms, the signed project document controls for that project to the extent of the conflict.

No construction, design, permitting, or project management service is guaranteed or authorized solely because you use the Website or submit a form. A project begins only when the required agreement, approvals, payment terms, and scope documents are completed.

5. Permits, Codes, and Government Approvals

ADU, casita, and construction projects may require zoning review, building permits, engineering, inspections, utility approvals, fire or safety review, HOA review, lender review, or other government or third-party approvals. Coli Studio may assist with permit coordination and project planning, but Coli Studio does not guarantee that a permit, variance, inspection approval, financing approval, rental approval, occupancy approval, or other government or third-party approval will be granted.

You are responsible for providing accurate property information and disclosing any known issues that may affect the project, including easements, deed restrictions, HOA rules, prior unpermitted work, utility limitations, property access issues, title issues, liens, environmental conditions, drainage concerns, structural issues, or other site-specific conditions.

6. Client Responsibilities

When requesting services or participating in a project, you agree to provide accurate, current, and complete information. You are responsible for reviewing proposals, plans, budgets, schedules, selections, notices, and other project documents before approval.

You are responsible for obtaining any owner, co-owner, landlord, tenant, HOA, lender, or third-party permission needed for Coli Studio or its partners to access the property, evaluate the project, prepare documents, perform work, or communicate with relevant professionals or agencies.

7. Appointments, Site Visits, and Scheduling

You may book a phone, virtual, in-person, or site consultation through the Website or by contacting Coli Studio. Appointment availability is not guaranteed. Coli Studio may reschedule, cancel, or adjust appointments due to availability, staffing, travel, emergency conditions, incomplete information, or other business needs.

If you cannot attend an appointment, please notify Coli Studio as soon as possible. Missed appointments, late cancellations, or repeated rescheduling may delay your project.

8. Payments, Deposits, Invoices, and Change Orders

Any fees, deposits, progress payments, payment schedules, refund terms, cancellation terms, and late payment terms will be stated in the applicable proposal, invoice, or written agreement. Unless stated otherwise in a signed agreement, Website content does not create a fixed price, final quote, payment obligation, or refund right.

Changes in scope, selections, site conditions, permitting requirements, material costs, labor requirements, design revisions, or client-requested changes may result in additional costs and revised timelines. Change orders or written approvals may be required before changes are performed.

9. Financing Support and Third-Party Services

Coli Studio may provide general information about financing options or connect you with lenders, brokers, contractors, architects, designers, inspectors, engineers, suppliers, insurance providers, or other third-party service providers. Unless expressly stated in writing, Coli Studio does not control and is not responsible for third-party decisions, terms, pricing, fees, approvals, delays, performance, products, services, or representations.

Financing approval, interest rates, payment amounts, loan terms, appraisals, property value, rental income, investment return, tax treatment, and similar financial outcomes are not guaranteed. You should consult qualified financial, tax, insurance, legal, and real estate professionals before making decisions.

10. No Professional Advice Through the Website

Website content is general information and does not constitute legal, financial, tax, engineering, architectural, real estate, insurance, or other professional advice. You should consult the appropriate licensed professional for advice specific to your property, project, jurisdiction, financing, taxes, insurance, rental plan, or legal situation.

11. Communications Consent

By submitting a form, scheduling a consultation, calling us, emailing us, or otherwise contacting Coli Studio, you authorize us to contact you using the contact information you provide. Communications may include appointment confirmations, appointment reminders, customer care responses, service updates, project updates, follow-up messages, and promotional or marketing messages where allowed by law and where you have provided consent.

You represent that any phone number or email address you provide belongs to you or that you have permission to provide it. You agree to notify Coli Studio if your contact information changes.

12. SMS/MMS Messaging Terms

Coli Studio may offer SMS and MMS text messaging related to consultations, appointments, customer care, service updates, project updates, and occasional marketing or promotional messages. By opting in through a Coli Studio form, checkbox, written consent method, or other approved opt-in method, you agree to receive text messages from Coli Studio at the mobile number you provide.

Consent to receive marketing text messages is not a condition of purchase. Message frequency may vary based on your interactions with Coli Studio and the nature of your project or inquiry. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

To stop receiving text messages, reply STOP to any Coli Studio text message. After you reply STOP, you may receive a confirmation message and will no longer receive SMS/MMS messages from Coli Studio unless you opt in again. To request help, reply HELP or contact Coli Studio using the contact information below.

Coli Studio does not sell, rent, or share mobile opt-in information with third parties for their marketing or promotional purposes. Please review our Privacy Policy for more information about how we collect, use, and protect information.

13. Email Communications

If you provide your email address, you may receive customer care emails, appointment communications, project updates, requested information, newsletters, promotional messages, or other business communications. You may unsubscribe from promotional email where an unsubscribe option is provided, but we may still send non-promotional messages related to your inquiries, appointments, transactions, agreements, or projects.

If you submit information, photos, documents, property details, project ideas, plans, or other materials to Coli Studio, you represent that you have the right to provide them and that the information is accurate to the best of your knowledge. You authorize Coli Studio to use the submitted information to evaluate your inquiry, communicate with you, prepare estimates or proposals, coordinate consultations, and provide requested services.

Do not submit confidential, sensitive, or third-party proprietary information unless it is necessary for your inquiry and you have the right to share it.

17. Photos, Testimonials, and Portfolio Use

Coli Studio may display testimonials, reviews, examples, portfolio materials, or project-related content on the Website or in marketing materials. Any project photo, testimonial, or identifiable client story will be handled in accordance with applicable permissions, agreements, privacy obligations, and applicable law. Nothing in these Terms prevents either party from seeking emergency injunctive relief where appropriate or from using rights that cannot be waived under applicable law.

24. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules, except where applicable law in another jurisdiction cannot be waived or where a signed project agreement states otherwise. Construction, consumer protection, lien, permitting, and licensing rules may vary by project location and may be governed by the law of the state, county, city, or jurisdiction where the project is located.

25. Changes to These Terms

Coli Studio may update these Terms from time to time. The updated version will be posted on the Website with a revised "Last Updated" date. Your continued use of the Website after changes are posted means you accept the updated Terms.
